Definition of Terms
The following terms will have the meanings set forth herein when used in ValQuest Ads Statement of Policies, Rules and Regulations, Business Plan, Compensation Plan Package, Member Application and Agreement and other official ValQuest Ads materials.
Advertising Campaign (AC)
The ValQuest Ads public promotion for an Authorized Redemption Center in order to attract an increased interest in the business. The person-to-person advertising performed by Marketing Directors for a merchant account
Advertising Unit (AU)
The smallest unit of measurement utilized to determine the size and scope of an advertising campaign. One advertising unit currently has a value of one US Dollar.
Alpha Personal Commission (APC)
A commission that is earned from the Alpha Template
Authorized Redemption Center (ARC)
A participating business that has officially filed the Merchant Advertising Agreement
Authorized Redemption Center Monthly Report (ARCMR)
A report created by ValQuest Ads from information received from the Authorized Redemption Centers.
Beta Organization Commission (BOC)
A Commission paid to the enroller for training a new Marketing Director. It is a percentage of and is based upon the new Marketing Director’s AU volume.
Blue Diamond Marketing Director
A distributor title with an AU personal monthly sales volume between 40 AU and 99 AU and a minimum Organization Group Volume of 100 AU.
Business Kit
The ValQuest product and business opportunity information portfolio purchased by a new Member pursuant to the terms of the Application & Agreement which may include product and marketing information and other official ValQuest materials.
Charity Application and Agreement
The addendum to the Marketing Director’s Application & Agreement, which must be completed by 501(c)(3) entities, which are applying to become distributors.
Compensation Plan
The plan offered by ValQuest that sets forth the compensation provided to Marketing Directors for the continuous building, promoting, training, motivation, servicing and development of their ValQuest business.
Corporate Entity Application and Agreement
The addendum to the Marketing Director’s Application & Agreement, which must be completed by corporate entities, which are applying to become distributors
Distributor Application & Agreement
The document, which must be completed, signed, received, and accepted by ValQuest as one of the pre-requisites to becoming a Marketing Director.
Distributor
A Distributor is a traditional term utilized to indicate a person has completed and filed a Distributor Application and Agreement. All enrolled members are deemed Distributors regardless of their individual title classification or rank. A person, who has an Enroller, has completed, executed, and delivered to ValQuest a Distributor Application and Agreement, and has paid to ValQuest the appropriate enrollment fee, if any.
Distributor Cost (DC)
The price a distributor pays for a Company sponsored product.
Dollar Stretcher (DS)
The price difference between the customer cost for a Value Certificate purchase and the exchange value received when redeeming a Value Certificate.
Downline
Distributors that are enrolled as Marketing Directors and receive a placement within an enroller’s organization
Electronic Checking
A payment method by which a Member authorizes ValQuest Ads Inc. to deduct payment for orders directly from his/her checking account.
End Consumer
A person who purchases ValQuest products or services for the purpose of consuming and/or using them, rather than for resale to a third party.
Enroll
To personally recruit, enlist, and sign up a distributor into the business organization.
Enroller
The Marketing Director who is listed the Application & Agreement who introduced the new member to ValQuest and helped him/her become a distributor.
Generation
A term that is used to describe a member’s position within the Beta Organization Commission Templet, the Delta Fast Start Templet, and the Omega Direct Commission Templet.
Generation Zero
The starting position within the Beta, Deta, and the Omega Templets and used as a point of reference when locating other generational positions.
Green Diamond Marketing Director
A distributor title with an AU personal monthly sales volume between 1 AU and 39 AU and a minimum Organization Group Volume of 50 AU.
Gold Diamond Marketing Director
A distributor title with an AU personal monthly sales volume between 200 AU and 399 AU and a minimum Organization Group Volume of 400 AU.
Group Volume (GV)
A distributor organization’s total AU that are contained within a specified number of generations
Inactive Marketing Director
A Marketing Director becomes inactive if he/she fails to personally receive and move the minimum product per month pursuant to the Marketing Compensation Plan for two consecutive months.
Income Opportunity
An opportunity offered by a distributor to a potential distributor to earn income
Independent Business Owner
The business organization consisting of a Marketing Director and those persons and entities that purchase ValQuest products or generate sales of ValQuest products from which the Marketing Directors is entitled to receive commissions.
Marketing Director’s Annual Income Statistics Report
Marketing Director (MD)
An applicant who has filed an Application & Agreement that has been accepted and approved by the Company and is authorized to receive products from ValQuest Ads at Marketing Directors prices. A person that has completed and filed a Distributor Application and Agreement is given the title of a Marketing Director. A Marketing Director is a distributor with a personal monthly sales volume of zero AU.
Marketing Director’s PIN
A unique number assigned by ValQuest Ads to each Marketing Director to facilitate internal record keeping by ValQuest Ads with respect to the Marketing Directors.
Marketing Organization
The Marketing Directors that comprise the group of individuals or entities from which the enrolling Marketing Directors is entitled to receive commissions based upon the collective sales volume of the group and the status of certain Marketing Directors within the group pursuant to the Marketing Compensation Plan.
Member
A title used during phase-one of the business plan to distinguish a person from the phase-three title of a Distributor.
Merchant Account
A business that has been sponsored and has signed a Merchant Advertising Agreement
Merchant Advertising Agreement (MAA)
An Advertising Agreement endorsed and signed by a business owner that among other things specifies the terms and conditions of the Advertising Agreement. The document between the Company and a client that specifies, among other things, the advertisement particulars; type of merchandise, dates and time limits of the contract, cost, and exclusions
Monthly Business Reports (MBR)
Reports produced by ValQuest Ads on a monthly basis that contain information relating to the activity of the Marketing Director’s Organization. The Monthly Business Reports contain trade secret information that is proprietary to ValQuest Ads.
Monthly Distribution Report (MDR)
The report due each month describing the distributor’s monthly Value Certificates sales and redemption.
Merchant VC Exchange Value
The face value printed on a Value Certificate.
Monthly Sales Report (MSR)
Reports produced by ValQuest Ads on a monthly basis that contain information relating to the activity of the Marketing Director’s organization. The Monthly Sales Reports contain trade secret information that is proprietary to ValQuest Ads.
Multi-Generation Marketing (MGM)
A style of marketing goods and services to the public.
Non-Member Sale
The sale of Company products to a non-member by an active Marketing Director.
Official ValQuest Ads Material
Material in any form, which is authorized, published, and disseminated by ValQuest Ads. This includes, but is not limited to, printed material, audio and videotapes, satellite broadcasts, fax and electronic communications and Internet communications.
Omega Direct Commission (ODC)
A commission earned by Marketing Directors after the Fast Start Bonus time period has expired. A commission earned by active Marketing Directors on their organization’s sales. A commission that is earned from the Omega Nine Generation Direct Commission Template.
Organization Change Form
Organization Volume
The total AU Volume which a Marketing Director’s Organization produced in a calendar month, including the Marketing Director’s volume

Personal Customer
A person who has purchased a product directly from a member and has not executed a Member Agreement. A non-member
Personal Enrollee
An Enroller’s Enrollee to whom the Enroller has personally introduced ValQuest and/or has played an active role in the presentation of ValQuest products or business opportunity
Personal Sales Commission (PSC)
A commission paid to a Marketing Director for sales made directly to a non-member.
Personal Sales
Sales which a distributor makes to a Personal Customer, non-member, or end consumer
Platinum Diamond Marketing Director
A distributor title with a personal monthly sales volume of 400 AU or greater and a minimum Organization Group Volume of 500 AU.
Qualified Distributor
The word Qualified attached to a Distributor’s title indicates that they have met the requirements of and for a particular Title, Bonus, or Commission.
Qualified Titled Marketing Director
A Marketing Director, who has filed the Application & Agreement that has been accepted and approved by the Company, purchased and moved the minimum amount required for the Title during the qualifying period, has received his/her first commission check, and has personally produced the sales amount required to maintain the Status and Title level pursuant to the Compensation Plan.
Qualified Marketing Directors Annual Income Statistics
A summary of income statistics published by ValQuest setting forth information regarding average, high and low income received by Qualified Marketing Directors on an annual basis.
Qualified Team-One Marketing Director
A Generation One Distributor that has met the minimum requirements to Qualify for the Team-One Bonus Pools
Recruit
- To attempt to enroll, enlist, or solicit, an individual or entity to join a business, program or organization; or
- To attempt to promote, influence or encourage an individual or entity to join a business, program or organization; or
- To present, or participate or assist in the presentation of, a business, program, organization or its products. To constitute recruiting, such efforts or attempts may be performed either directly through personal contact or indirectly through a third party.
Redemption Volume (RV)
The number used to calculate the commission for the the ODC. It is determined by dividing the amount of Value Certificates redeemed by the total monthly AU volume. This mathematical process results in a percentage that will reveal the Redemption Volume number.
Satellite Business
Any business, other than the original business, which a Qualified Marketing Director owns, or has interest in, within the ValQuest business organization
Silver Diamond Marketing Director
A distributor title with an AU personal monthly sales volume between 100 AU and 199 AU and a minimum Organization Group Volume of 200 AU.
Sponsor (v)
The act of contracting or recruiting a new merchant business to file an Advertising Agreement
Statement of Policies
The policies published by ValQuest Ads, as amended from time to time, which set forth, among other things, the requirements for operating a ValQuest Ads Business.
Suggested Retail Price
The suggested price paid for a product and/or service by a non-member customer, or by the end consumer
Tax Exempt Entity Application and Agreement
The addendum to the Agent Application & Agreement, which must be completed by tax-exempt entities that are applying to become Marketing Directors
Title
The name used to identify personal sales volume by a Member, Distributor, or Marketing Director.
Upline
A single line of enrollers that link the Marketing Director to the company
Value Certificate (VC)
- A paper instrument used to identify a customer to a client. It is used to track the effectiveness of an advertising campaign.
- A Value Certificate is a physical tool utilized during an advertising campaign to facilitate an authorized person to obtain the items they purchase at a reduced price.
- A ValQuest Value Certificate is a paper voucher that can be redeemed and exchanged for the amount of a discount on items offered by a participating business.
- A ValQuest Value Certificate is a type of voucher that can be redeemed for products and/or services at participating Authorized Redemption Centers.
- A ValQuest Value Certificate is a type of voucher that obtains its basic value from a person’s advertising labor and a merchant’s contract to accept Value Certificates.
Value Certificate Redemption Program (VCRP)
A program designed to redeem a type of voucher at participating Authorized Redemption Centers
Zero-Cost Advertising Program (Z-CAP)
An advertising program / method that is designed to lower the cost of advertising for a business.
An advertising method of person-to-person advertising to reduce the advertising cost for businesses.
